Understanding the Three-Tier System
Wine does not travel directly from a winery to your glass. In the United States, it moves through a regulated distribution structure known as the three-tier system, a framework born from Prohibition repeal in 1933 that the federal government left to individual states to implement. The result is a patchwork of state-by-state rules built on a common architecture: producer, distributor, retailer/restaurant. Understanding this system in operational detail is not academic. It determines what you can buy, from whom, at what price, and with what leverage.
Tier One: The Producer or Importer
The first tier comprises wineries and importers. A domestic winery produces wine and typically sells it through a licensed distributor in each state where it wants to do business. An importer takes that role for foreign producers, securing the label's rights for US distribution, handling customs and federal TTB compliance, and placing the wine with state-level distributors. Some importers are brand-exclusive and tightly controlled (think Kermit Lynch, Eric Solomon, José Pastor). Others are portfolio importers managing hundreds of labels simultaneously.
What matters to you: the importer shapes the brand's narrative, sets the initial price into the market, and controls which distributors carry which wines. A prestige Burgundy domaine may only authorize one importer, who then selects one distributor per market. That distributor becomes your sole legitimate source.
Tier Two: The Distributor
The distributor is your primary commercial relationship. Distributors are licensed at the state level, and in most states, a winery or importer must use a licensed in-state distributor to sell to restaurants. The distributor warehouses inventory, handles delivery, employs the sales representatives you meet weekly, and processes your invoices.
Margins at the distributor tier typically range from 25 to 40 percent above their cost, though this varies by market size, category, and brand negotiating power. On a wine the distributor pays $10 for, your invoice price might be $12.50 to $14. On a high-velocity, high-profile brand, that margin may compress. On a small-production import that requires hand-selling and education, it may expand.
Tier Three: The Restaurant
Your establishment sits at the end of the chain. You purchase from distributors at their invoice price (the wholesale or front-line price, which sits above the upstream FOB price once import, freight, and distributor margin are added) and then apply your own markup to set menu or retail prices. A common restaurant cost-of-goods target for wine is 28 to 35 percent, meaning a bottle invoiced at $20 typically appears on a wine list at $55 to $70.
What the three-tier structure means in practice: you cannot simply call a winery and buy direct in most US states. You cannot consolidate all purchasing through a single national account. You manage a distributor relationship in each market where you operate. In a multi-property operation spanning five states, you may be managing 15 or more active distributor accounts.
Using This Knowledge to Negotiate
The most sophisticated beverage directors understand that distributors are margin businesses with their own pressures: sales targets, credit limits, delivery route costs, and allocated inventory they need to move. That knowledge creates leverage. A restaurant doing $800,000 in annual wine and spirits revenue represents a meaningful account to most regional distributors. Volume commitment, prompt payment, and reliable order patterns are worth real money in negotiating credits, pricing breaks, and priority allocation access.
Pro Tip: Request your top three distributors' annual invoices at year-end and calculate exactly what your account is worth to each of them. Walk into your January buying meetings knowing the number. "Last year we invoiced $340,000 with you across 14 properties; i want to talk about what that relationship is worth going into this year." That posture is different from simply asking for a price reduction.
Building Distributor Relationships
Most beverage programs work with somewhere between three and twelve distributors depending on market, program scope, and category breadth. The instinct to consolidate is financially understandable (fewer relationships, higher volume per partner, more leverage) but it carries risk. A single-distributor strategy means a portfolio gap becomes your gap. A more sophisticated approach: identify two or three anchor distributors who carry your core program volume, and maintain specialty relationships with smaller houses that access unique portfolios you cannot get elsewhere.
Evaluating a Distributor
When assessing a new distributor relationship or auditing an existing one, apply a consistent set of criteria:
Portfolio quality. Does this distributor carry producers and regions that fit your program's identity? A distributor with strength in Burgundy, Northern Rhône, and Barolo is a different partner than one built around high-velocity by-the-glass brands. Both have value, but different value depending on your program.
Sales representative quality. The rep is the relationship. A knowledgeable, responsive, honest rep who communicates allocation windows, flags incoming price changes, and brings you wines you'll actually use is worth more than the entire portfolio of a rep who only shows up to present new arrivals you didn't ask for. Distributor rep quality is wildly uneven. Identify who your best reps are and protect those relationships when distributor mergers or personnel changes occur.
Delivery reliability. Late deliveries, short shipments, and temperature-damaged wines are program failures that originate at the logistics tier. Ask about delivery frequency in your market, warehouse storage conditions, and how the company handles damage claims. A distributor with next-day delivery capabilities and a functioning online ordering portal creates materially less operational friction than one requiring three-day lead times and fax orders.
Return policy. Every market is different, but most distributors will accept returns on corked or damaged bottles. What you're evaluating is whether their process is efficient and non-adversarial. A rep who makes you fight for a credit on a bottle of demonstrably flawed wine is signaling something about the broader relationship.
Programming support. Will the distributor commit to staff training events, winemaker dinners, portfolio tastings, and event support? What is their track record on delivery, meaning, do they promise education support and then ghost when you follow up?
Getting Priority Attention
Every distributor has A, B, and C accounts. A accounts receive proactive communication about allocations, new arrivals, and opportunities before anyone else. C accounts get whatever is left. The mechanisms that move you toward A status are not complicated: pay your invoices on time, submit organized orders on predictable schedules, provide honest feedback about what is and isn't working, and show up to portfolio tastings.
Accounts that are slow payers, inconsistent orderers, or that treat reps as transactional get deprioritized, sometimes without being told. A restaurant that pays Net 30 invoices in 45 days and consistently disputes charges will find that its allocation requests go to the bottom of the stack.
Volume Commitments as Strategy
A volume commitment (agreeing to purchase a defined quantity of a specific label or category over a period of time) is one of the most effective tools for securing preferential pricing and allocation access. Done correctly, it converts a transactional relationship into a partnership with mutual accountability. The key is committing to volume you are genuinely confident you can move, not volume that looks impressive but creates excess inventory. Overcommitting damages your credibility with the distributor and strains your cash position.
Pro Tip: When evaluating a new distributor relationship, ask your potential rep for references from accounts similar to yours, similar size, similar program orientation. If they hesitate or offer only their largest accounts as references, take note. A distributor worth working with should be able to demonstrate that programs like yours get the service they're promised.
The Buying Process
Purchasing wine is not a spontaneous activity. In a well-managed program, it is a structured, calendar-driven process that aligns with menu cycles, storage capacity, cash flow windows, and seasonal demand. The absence of that structure produces its own consequences: reactive purchasing, over-reliance on whatever the rep happened to bring that week, and an inventory that reflects distributor priorities rather than your own program vision.
The Buying Calendar
A functional buying calendar operates at three scales:
Monthly orders handle replenishment, the routine purchasing that keeps your core list stocked and your by-the-glass program running. These should be based on actual depletion data, not intuition. A POS system integrated with your inventory management software should show you exactly what moved in the prior 30 days. Order to replenish to par, accounting for lead time and minimum order quantities.
Quarterly reviews are the opportunity to evaluate the health of the broader list. What is moving and what is not? Which distributors are performing against commitment? What new additions should you trial? Quarterly reviews are also when to assess whether any wines have reached the end of their useful cycle on the list, slow-selling bottles that occupy capital and storage space without generating revenue.
Annual planning is strategic. In January, you are making decisions about the year's direction: which categories to grow, which distributors to deepen or reduce, what the pricing strategy looks like for menu reprints, whether you are adding sparkling or reducing reds, how many new producers you want to introduce. Annual planning also surfaces purchasing decisions for futures and allocations, wines you need to commit to well before they arrive.
Evaluating New Wines
Tasting new wines for potential list placement is one of the most important and most easily abused activities in wine program management. Done well, it is rigorous, systematic, and connected to clear purchase criteria. Done poorly, it becomes unfocused and results in purchases driven by what tasted good in isolation rather than what fits the program.
Before any tasting, establish evaluation criteria: Does this wine fill a gap on the list? Does it represent a style or region the program needs? Is the pricing appropriate for the margin structure? Is the volume available to justify a listing, can you get 12 cases a month, or only 2?
During the tasting, taste blind when possible. Apply consistent evaluation standards: typicity, quality for the price, aging potential, food compatibility, and ease of description to non-specialist guests.
Managing Unsolicited Rep Tastings
Every experienced beverage director develops a version of the same problem: too many rep visits, too many wines poured, and not enough time to manage all of it. The solution is a structured tasting policy communicated clearly to all distributor contacts.
Define specific windows for rep visits, two mornings a week, for example, by appointment only. Specify that reps should submit a list of wines they want to present before arriving, so you can pre-screen for program fit. Make clear that if a wine doesn't fit the current program direction, you will say so immediately and explain why, not to be dismissive, but to respect everyone's time.
Saying No Without Damage
The ability to decline a wine without damaging the underlying relationship is a professional skill. The mechanism is simple: be specific, be honest, and redirect. "This isn't right for us right now because our Languedoc selections are already carrying too much Grenache-based inventory, and I want to hold this slot for something lighter, but if you get something from Pic St-Loup or Faugères with bright acidity, bring it back." That response tells the rep you paid attention, you have a reason, and the door isn't permanently closed.
Pro Tip: Create a one-page "Program Brief" that you update at each quarterly review and share with your top reps at the start of each quarter. It should specify exactly what you're looking for: "Currently seeking: white Burgundy under $60 invoice, Ribera del Duero Crianza under $25 invoice, high-acid Italian whites for by-the-glass." Reps who receive this brief can pre-qualify their offerings before requesting a tasting. Your productivity improves, and the reps who take it seriously self-select as the ones worth your time.
Negotiating
The leverage you hold as a beverage director is often larger than you realize, and significantly underutilized. Distributors are competing for your volume, your list placements, and your endorsement of their brands. That competition is your negotiating currency. The question is how to deploy it strategically rather than leaving value on the table.
What You Can Actually Negotiate
Price. Invoice pricing for wine is not fixed by law in most markets, it is negotiated, within the constraints of state pricing rules (some states require uniform pricing across accounts, others do not). Volume commitments, prompt payment terms, and front-of-house exclusivity on a label all create grounds for pricing concessions. Know your market's regulatory structure before entering pricing conversations.
Programming support. Winemaker dinners, staff education events, themed flights, producer visits, distributors routinely fund these activities for accounts that ask and that have demonstrated ability to execute. A beverage director who runs two successful producer dinners a year with a distributor's support has secured something worth several thousand dollars in marketing value. These events also benefit the restaurant's guest experience directly.
Staff training. Distributor-funded staff education is one of the most consistently underutilized negotiating chips. Ask for quarterly training from brand representatives on your key producers, especially on wines that require explanation to sell. The more your team knows, the more they sell, and the more your distributor benefits. Make this explicit in your conversations.
Exclusive allocations. For high-demand wines with limited availability, exclusivity (being the only account in your market with the wine by the glass or as a list feature) has genuine commercial value. It drives guest traffic from enthusiasts who know where to find the wine. Distributors can often offer market exclusivity for a defined commitment period in exchange for volume.
Event support. Distributor marketing budgets exist, and accounts that ask for co-sponsorship of wine events, tastings, or VIP dinners more often receive it than those that don't ask.
What Distributors Want in Return
Negotiating works when both parties have something to gain. Distributors want: reliable volume they can forecast, prompt payment that preserves their cash flow, prominent list placement that generates sell-through data they can show their suppliers, staff who actually recommend the wines, and accounts that treat their representatives with professional respect. When you deliver these things, you are a valuable partner, and valuable partners earn better terms.
Using Volume, Exclusivity, and List Placement
These three currencies are the core of beverage director leverage. Volume commitment converts uncertainty into revenue for the distributor. Exclusivity on a sought-after label gives the distributor a sales story they can take to the supplier. Front-of-house placement (by-the-glass, featured on the menu, recommended by your team) generates the trial and velocity that validates the distributor's decision to pitch you.
Use them deliberately. "I want to put this wine on by the glass at all six properties, and I want my team trained on it. In exchange, I need invoice pricing at $X and first right of refusal on the next allocation." That is a negotiation. "Can you do anything on the price?" is a request.
When to Walk Away
Not every distributor negotiation is worth completing. If a distributor cannot meet your minimum pricing requirements on a category where alternatives exist, price elsewhere. If a rep has repeatedly failed to deliver on commitments (training support that was promised and never scheduled, allocation access that was implied and never materialized) that relationship has a track record you should act on. The professional way to reduce or exit a distributor relationship is direct conversation: "We're going to reduce our volume with you this year and reallocate it to [competitor] because their portfolio better fits where we're taking the program. I wanted to be transparent rather than let it happen without explanation."
Pro Tip: Before any significant negotiating conversation, write down three things you want and one thing you are willing to give up. Experienced negotiators know that the first offer is rarely the right offer, and that the party who talks least in the early minutes of a negotiation typically ends up with better terms. Let the rep present their position first. Understand what they need before you reveal what you want.
Allocations and Futures
The most coveted wines in the world are not available on demand. Burgundy Grand Crus, top Barolo producers, Hermitage, and cult California Cabernets are distributed through allocation systems, structured, relationship-based processes by which producers (or their importers and distributors) decide who receives access to their wines and in what quantity. Getting on allocation lists and managing those commitments intelligently is one of the marks of a sophisticated purchasing operation.
How Allocation Systems Work
In a typical allocation model, a producer makes a defined quantity of wine. The importer receives an allocation of that quantity, which they then distribute among their retail and restaurant account base according to a priority formula that combines purchase history, relationship depth, and strategic value. The distributor does the same in your market.
The result: a wine that appears on a distributor's portfolio list may have zero inventory available. You can be listed as a customer and still receive no allocation of a specific label because you haven't established the purchasing history that qualifies you for it. Allocation is not simply about wanting a wine, it is about demonstrating that you are a consistent, reliable home for it.
Getting on Allocation Lists
The path onto allocation lists runs through the same mechanisms that drive all strong distributor relationships: consistency, volume, and relationship investment. An account that has purchased a producer's second wine for three years and featured it prominently on the list is in a fundamentally different position to request allocation of the domaine's premier cru than an account that calls once a year asking what's available.
Practical steps: identify the prestige producers most relevant to your program's identity and explicitly tell your reps you want to build toward allocation access. Purchase the available SKUs from those producers now. Be visible at portfolio tastings when producer representatives visit the market. Some importers maintain their own direct allocation relationship with top accounts, knowing which importers these are and cultivating those connections is worth the effort.
Evaluating Allocation Commitments
An allocation offer comes with a quantity and a price. Before committing, evaluate: At what sell-through pace can you move this quantity given your guest base and price point? Does the margin structure work at a sustainable menu price? Does committing to this allocation require cash you need for core list replenishment? Is this wine's profile genuinely right for your guests, or are you acquiring it for prestige reasons that don't translate to the floor?
An allocation that sits in your cellar unsold for 18 months is not a victory. A 12-bottle allocation of a genuinely great Burgundy that sells out in six weeks and generates guest excitement is.
Futures Buying
Futures (purchasing wine before it has been released, often before it is even bottled) are common in Bordeaux (En Primeur) and in varying forms for Barolo, Brunello, and some California Cabernet producers. The buyer pays a price now, typically at a discount to anticipated market release price, in exchange for guaranteed access to a specific wine at a future delivery date (often 12 to 36 months out).
The potential reward: wines that are difficult or impossible to source after release, acquired at below-market pricing. The risks: the wine may not be as good as anticipated from barrel samples; the producer's financial position may change; your own program's direction may shift before the wine arrives; and your capital is committed without the corresponding inventory to sell.
For large-scale corporate programs, futures buying should be governed by policy: maximum futures commitment as a percentage of annual wine capex, approval authority for purchases above a threshold, and a clear vetting process for evaluating the credibility of the offer.
Pro Tip: When you receive an allocation offer for a wine you've never purchased, ask the rep for the sell-through data from similar accounts, how long does it typically take comparably positioned restaurants to move this label? That one question tells you whether the rep actually knows your market or is simply trying to move inventory. A rep who can answer it with specifics is a rep who knows their portfolio. A rep who can't is one you should question further before committing.
Ethical Purchasing and Conflicts of Interest
The buyer-seller dynamic in beverage purchasing is inherently unequal in ways that create ethical risk. You control access to a revenue stream that distributors, importers, and producers compete vigorously to win. That competition generates incentives, gifts, meals, travel, entertainment, that, without a clear ethical framework, can compromise the integrity of your purchasing decisions and expose you and your organization to legal and reputational liability.
The Landscape of Gifts and Hospitality
The wine trade has a long cultural history of hospitality: samples, dinners, tastings, producer trips. Much of this is legitimate, you cannot evaluate wine without tasting it, and producer visits genuinely build the knowledge that serves your guests and your program. The ethical challenge is distinguishing between relationship-building that has professional value and inducements that improperly influence purchasing decisions.
The key distinction is directionality of obligation. A glass of wine poured at a portfolio tasting creates no obligation. A $200 dinner paid for by a distributor rep, ahead of a major purchasing decision, is different in character. A week-long trip to a wine region, fully funded by a distributor, with no expectation of press coverage or educational output, is different still.
Corporate Purchasing Policies
Most corporate hospitality organizations have formal supplier gift policies. These typically specify: a maximum annual gift value from any single supplier (commonly $25 to $100, though limits vary widely and are set by each organization), categories of prohibited gifts (cash equivalents, entertainment of excessive value), disclosure requirements for gifts above a certain threshold, and rules governing travel and hospitality.
As a beverage director in a corporate environment, you are bound by these policies, and you are professionally accountable for ensuring your team understands and follows them as well. A sommelier who accepts a case of wine from a distributor as a personal gift, without disclosure, has created a liability that attaches to the program.
If your organization does not have a formal policy, recommend the development of one. Document what you receive, from whom, and when.
Kickbacks and Payola
In more overt forms, the ethical violations in beverage purchasing involve direct financial benefit to the buyer: cash payments, personal wine gifts of significant value, or reciprocal business arrangements where a buyer's personal interests benefit from a purchasing decision. These practices, known in the trade as kickbacks or payola, are not merely unprofessional. They may constitute fraud, breach of fiduciary duty, or violation of federal and state commercial bribery statutes depending on jurisdiction and employment structure.
The test is straightforward: would you be comfortable if your employer, your CFO, or a journalist had a complete record of this transaction and its relationship to a purchasing decision? If not, it should not happen.
Maintaining Integrity While Building Genuine Relationships
The existence of ethical risk does not mean buyer-supplier relationships must be transactional and cold. Genuine professional relationships with distributors, importers, and producers are an asset, they produce better information, earlier access, and a more honest commercial partnership. The framework for keeping those relationships on solid ethical ground is transparency.
Tell your suppliers what your gift acceptance policy is. Be willing to pick up your share of dinner bills when appropriate. Decline trips that would create uncomfortable obligations. Participate in producer visits that have genuine educational value and that your organization endorses. Show appreciation through professional loyalty (prompt payment, excellent placement, enthusiastic staff education) rather than through reciprocal personal benefit.
Diversity in the Supply Chain
Corporate beverage programs increasingly operate within broader organizational commitments to supplier diversity. This means actively evaluating and supporting distributors, importers, and producers owned or led by historically underrepresented groups, women, people of color, LGBTQ+ entrepreneurs, as part of a considered purchasing strategy.
This is not tokenism if it is done with the same rigor applied to any purchasing decision. Evaluate the wines on merit. Build genuine relationships rather than quota-filling transactions. Advocate for diverse producers within your distributor relationships, ask reps what women-owned or BIPOC-owned producers they represent and whether those wines fit your program.
Pro Tip: Create a simple annual disclosure form for yourself and your beverage team to complete: list every gift, meal, or hospitality event received from a supplier in the past 12 months, estimated value, and the supplier's name. Share it voluntarily with your F&B director or finance team. The act of self-disclosure is itself an ethical posture, and it creates a paper trail that protects you if questions ever arise.
